Legal notices: Communications@buylowusa.com

IMPORTANT NOTICE: THESE TERMS INCLUDE A BINDING ARBITRATION AGREEMENT, CLASS-ACTION WAIVER, DISCLAIMERS, AND LIMITATIONS OF LIABILITY. READ THEM CAREFULLY. CERTAIN PROVISIONS MAY NOT APPLY WHERE PROHIBITED BY LAW.

1. Acceptance and scope

These Terms of Use ("Terms") govern access to and use of Buy Low's websites, landing pages, online portals, training materials, digital resources, webinars, communications, and other online offerings (collectively, the "Services"). By accessing or using the Services, creating an account, or affirmatively accepting these Terms, you agree to them. If you act for an organization, you represent that you have authority to bind it. You must be at least 18 years old and legally able to enter a contract. If you disagree, do not use the Services.

2. Separate customer agreements; order of precedence

Purchases of consulting engagements, advisory programs, training, or other paid services require a separate signed consulting agreement, statement of work, or order form (a "Client Agreement"). That Client Agreement controls the specific scope, deliverables, price, payment milestones, service period, cancellation, refund rights, and other commercial terms of that engagement. If these Terms conflict with a signed Client Agreement concerning that engagement, the signed Client Agreement controls. These Terms do not independently obligate Buy Low to furnish any particular paid service.

3. Nature of Buy Low's services; independent ownership

Buy Low is a consulting business providing strategic business consulting, advisory services, training, educational content, operational guidance, and marketing education to individuals and independently owned businesses. Buy Low provides advice and recommendations rather than undertaking to form, launch, establish, manage, or operate a client business. The specific services provided are only those expressly set out in an applicable Client Agreement. Clients remain solely responsible for establishing, financing, owning, managing, staffing, marketing, generating customer leads, and operating their businesses, including obtaining all necessary licenses, permits, insurance, professional advice, and approvals. Buy Low does not become a partner, employer, fiduciary, manager, franchisor, or co-owner of a client's business merely by providing Consulting Services. Nothing in these Terms grants any franchise or trademark rights.

4. Marketing education; no customer provision

Buy Low may teach clients about advertising platforms, marketing strategy, budgeting, campaign development, customer acquisition, lead follow-up, sales processes, and performance measurement. Buy Low does not conduct advertising campaigns on behalf of clients, supply or procure leads or customer accounts, provide booked appointments, or guarantee customer acquisition. Clients independently decide whether and how to implement recommendations, select vendors, spend advertising funds, and solicit and serve customers. References to marketing methods or potential performance are educational, not promises of results.

5. No earnings or business-performance guarantees

BUY LOW DOES NOT REPRESENT, WARRANT, OR GUARANTEE ANY LEVEL OF SALES, CUSTOMER INQUIRIES, BOOKINGS, REVENUE, PROFITS, BUSINESS VALUATION, FINANCING APPROVAL, OR BUSINESS SUCCESS. RESULTS VARY BASED ON LOCATION, INDUSTRY, DEMAND, COMPETITION, CAPITAL, MARKETING SPEND, SKILL, EXPERIENCE, EFFORT, EXECUTION, MANAGEMENT, STAFFING, ECONOMIC CONDITIONS, AND OTHER FACTORS. BUSINESS OWNERSHIP INVOLVES RISK, INCLUDING LOSS OF INVESTED FUNDS. HISTORICAL RESULTS, CASE STUDIES, TESTIMONIALS, AND ILLUSTRATIONS ARE NOT ASSURANCES OF FUTURE OR TYPICAL RESULTS. ANY SPECIFIC EARNINGS CLAIM MUST BE UNDERSTOOD TOGETHER WITH ITS ACCOMPANYING SUBSTANTIATION AND DISCLOSURES, IF APPLICABLE.

6. Informational content; no professional advice

Content is provided for general informational and educational purposes and is not legal, tax, accounting, investment, lending, insurance, engineering, licensing, or other regulated professional advice. Buy Low does not guarantee that any particular approach is lawful, suitable, or effective in your jurisdiction. Consult appropriately licensed professionals about your circumstances. You are responsible for compliance with applicable laws, including advertising, consumer protection, employment, tax, business licensing, and contractor regulations.

7. Eligibility, accounts, and security

Some Services require registration. You agree to provide accurate, complete information, keep it current, protect your credentials, and notify us promptly of suspected unauthorized access. You are responsible for activity through your account to the extent permitted by law. Accounts and access rights are personal to the authorized user or purchasing organization and may not be shared, transferred, resold, or sublicensed without written consent.

8. Permitted use and prohibited conduct

You may use the Services only for lawful purposes and as expressly authorized. You may not: infringe intellectual-property or privacy rights; misrepresent your identity; distribute malicious code; attempt unauthorized access; scrape or systematically harvest content; interfere with platform operation; bypass access restrictions; copy or commercially redistribute training materials; use the Services to deceive customers; or assist others in doing any of the foregoing. We may restrict access to protect users, our systems, and our rights.

9. Intellectual property; limited license

Except for material you lawfully provide, the Services, content, course materials, videos, templates, designs, text, software, trademarks, and associated intellectual property belong to Buy Low or its licensors. Subject to payment of applicable fees and compliance with these Terms and any Client Agreement, Buy Low grants you a limited, revocable, nonexclusive, nontransferable license to access authorized materials for your internal educational and business purposes. No ownership or trademark rights transfer. Any broader use of templates or other deliverables must be expressly granted in the Client Agreement. You may not publish, resell, or distribute proprietary materials except as expressly permitted in writing.

10. User submissions and feedback

You retain ownership of information, files, comments, and other content you submit ("User Content"). You represent that you have the rights necessary to provide it and that it does not violate law or third-party rights. You grant Buy Low a nonexclusive license to host, store, process, reproduce, and use User Content as reasonably necessary to provide the Services, maintain security, comply with law, and enforce these Terms, subject to our Privacy Policy and any applicable Client Agreement. We will not treat confidential client business information as a public testimonial merely because it was submitted to us. If you voluntarily provide ideas or feedback about our Services, we may use that feedback without compensation, subject to applicable law; use of your name, likeness, or identifiable testimonial for marketing requires any consent required by law.

11. Third-party tools and vendors

The Services may reference or integrate third-party software, hosting providers, advertising platforms, financing companies, contractors, or other providers. Such parties operate under their own terms and policies. Unless expressly stated in a Client Agreement, Buy Low does not control or guarantee their availability, performance, pricing, decisions, or services. Recommendations do not create a promise that any vendor will deliver customers, financing, or particular outcomes. You are responsible for evaluating and engaging any third party you choose.

12. Fees, purchases, and refunds

Fees, payment timing, taxes, and any refund or cancellation rights for paid programs are governed by the applicable Client Agreement or checkout terms presented at purchase. For a purchase not governed by a separate Client Agreement, the applicable checkout terms control. No blanket nonrefundability provision in these website Terms overrides mandatory consumer rights or an express written refund commitment. You are responsible for authorized charges and applicable taxes, excluding taxes imposed on Buy Low's net income.

13. Communications

By providing contact details, you agree to receive transactional and service-related communications. Marketing emails and texts will be sent only as permitted by applicable law and any required consent; you may unsubscribe or opt out using the method provided in the message. Consent to promotional calls or texts is not a condition of purchasing Services where prohibited by law. Carrier message and data charges may apply.

14. Privacy

Our collection and use of personal information is governed by our separately posted Privacy Policy. If no Privacy Policy is currently published, this provision does not substitute for one. Do not submit sensitive personal, medical, or financial information through general website forms unless specifically requested through an appropriately secured process.

15. Availability, changes, and suspension

We may modify website features, educational content, or access methods from time to time. We may suspend or terminate access for material violations, fraud, security risks, or unlawful activity, subject to applicable law and any Client Agreement. Changes to website Services do not relieve Buy Low of expressly agreed obligations in a signed Client Agreement. We will make commercially reasonable efforts to notify affected users of material changes when appropriate.

16. Termination and survival

You may stop using the public website at any time. Access to paid Services and any related termination or refund rights are governed by the Client Agreement. Upon termination of access, licenses granted under these Terms end, except rights expressly stated to survive. Provisions concerning ownership, confidentiality where applicable, payment obligations, disclaimers, dispute resolution, limitations of liability, and other terms intended by their nature to survive will continue to the extent permitted by law.

17. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, PLATFORMS, AND GENERAL EDUCATIONAL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE ACCESS OR THAT CONTENT IS COMPLETE OR CURRENT. THIS SECTION DOES NOT DISCLAIM EXPRESS OBLIGATIONS IN A SIGNED CLIENT AGREEMENT OR RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED.

18. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUY LOW AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR LOST DATA, ARISING FROM USE OF THE WEBSITE OR GENERAL EDUCATIONAL SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY. FOR CLAIMS ARISING SOLELY FROM FREE WEBSITE ACCESS, OUR AGGREGATE LIABILITY WILL NOT EXCEED $100. FOR CLAIMS ARISING FROM A PAID ENGAGEMENT, THE LIABILITY CAP, IF ANY, IN THE APPLICABLE CLIENT AGREEMENT CONTROLS; OTHERWISE, TO THE EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS ACTUALLY PAID TO BUY LOW FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE SIX MONTHS PRECEDING THE EVENT. NOTHING LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT WHERE SUCH LIMITATION IS PROHIBITED.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Buy Low and its personnel from third-party claims, damages, and reasonable costs arising from your unlawful use of the Services, your infringement of third-party rights, your User Content, or your material breach of these Terms, except to the extent caused by Buy Low's own misconduct or other acts for which indemnity is prohibited by law. Buy Low will give reasonably prompt notice of a claim and permit you to participate in its defense, subject to reasonable controls over settlement.

20. Dispute resolution; arbitration and class-action waiver

PLEASE READ: THIS SECTION AFFECTS YOUR RIGHT TO SUE IN COURT.

20. DISPUTE RESOLUTION

In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its interpretation, performance, breach, enforcement, or termination (a “Dispute”), the parties agree to resolve such Dispute in accordance with the following procedures:

20.1 Informal Resolution. Before initiating any formal proceedings, the parties shall first attempt in good faith to resolve the Dispute through informal negotiations for a period of thirty (30) days following written notice of the Dispute by either party.

20.2 Mandatory Mediation. If the Dispute remains unresolved following the informal negotiation period, the parties agree to submit the Dispute to confidential, nonbinding mediation administered by the American Arbitration Association (“AAA”) in accordance with its applicable mediation procedures. Unless otherwise agreed in writing, mediation shall take place in Sheridan, Wyoming, or remotely by videoconference. The parties shall share the mediator's fees and administrative costs equally, with each party bearing its own attorneys' fees and related expenses.

20.3 Binding Arbitration. If the Dispute is not resolved through mediation within forty-five (45) days following the submission of a written request for mediation, either party may submit the Dispute to final and binding arbitration administered by the AAA in accordance with its applicable arbitration rules. Arbitration shall be conducted before a single neutral arbitrator in Sheridan, Wyoming, or remotely by mutual agreement, and shall be conducted in English. The arbitrator's decision shall be final and binding upon the parties, and judgment upon the award may be entered in any court of competent jurisdiction.

20.4 Individual Proceedings. All mediation and arbitration proceedings shall be conducted solely on an individual basis. Neither party shall have the right to bring or participate in any class, collective, consolidated, or representative action or proceeding, except to the extent such waiver is prohibited by applicable law.

20.5 Costs and Attorneys' Fees. Unless otherwise required by applicable law or the applicable arbitration rules, each party shall bear its own attorneys' fees and expenses, and arbitration fees and costs shall be allocated in accordance with the arbitrator's determination and applicable rules.

20.6 Exceptions. Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief from a court of competent jurisdiction to protect confidential information, intellectual property rights, or other rights requiring immediate protection, without waiving its obligation to resolve the underlying Dispute through the procedures set forth herein.

20.7 Survival. This Section shall survive the termination or expiration of this Agreement.

A signed Client Agreement's dispute-resolution clause controls disputes under that agreement if inconsistent with this section.

21. Governing law and courts

Except where preempted by the Federal Arbitration Act or where mandatory law requires otherwise, these Terms are governed by Wyoming law without regard to conflict-of-laws principles. For proceedings not subject to arbitration, the parties consent to the state and federal courts with jurisdiction over Sheridan County, Wyoming, subject to applicable law, mandatory venue rules, and the rights of consumers in other jurisdictions. A court may enter judgment on an arbitration award as permitted by law.

22. Force majeure

Neither party is liable for delay or failure to perform obligations under these Terms caused by events beyond its reasonable control, including natural disasters, widespread outages, government actions, war, or labor disruptions, except payment obligations already due. The affected party will use commercially reasonable efforts to mitigate the effects. Any different force-majeure provisions in a Client Agreement control the paid engagement.

23. Copyright complaints

If you believe content on the Services infringes your copyright, send a notice identifying the copyrighted work, the allegedly infringing material and its location, your contact information, a good-faith statement of unauthorized use, a statement under penalty of perjury of the notice's accuracy and your authority, and your physical or electronic signature to Communications@buylowusa.com as well as certified mail to our offices. This address is a general copyright contact; it should not be described as a formally registered DMCA designated agent unless that registration has been completed.

24. Updates to these Terms

We may update these Terms by posting a revised version with a new last-updated date. Material changes will be communicated where required by law. Changes will apply prospectively, and continued use after the effective date constitutes acceptance where legally permitted. Material changes to a signed Client Agreement require the method of amendment stated in that agreement.

25. Miscellaneous

These Terms, together with any documents expressly incorporated and any applicable Client Agreement, constitute the agreement for their respective subject matter. If a provision is unenforceable, the remaining provisions remain effective to the extent lawful. Failure to enforce a provision is not a waiver. You may not assign rights under these Terms without Buy Low's written consent; Buy Low may assign these Terms in connection with a merger, reorganization, or sale of substantially all relevant assets, subject to applicable law and any Client Agreement. Nothing creates a partnership, joint venture, employment, agency, or fiduciary relationship. Headings are for convenience only.

26. Legal notices and contact information

Legal notices to Buy Low must be sent by certified mail and email to Communications@buylowusa.com with the subject line "Legal Notice", and should identify the sender, contact information, relevant facts, and requested action. Notices are effective upon actual receipt, except where applicable law requires another method. For legal notices requiring service of process, email alone is not a substitute for legally valid service unless expressly authorized by applicable law.
